1. INTRODUCTION AND ACCEPTANCE

These Terms & Conditions ("Terms", "Terms and Conditions)" govern your access to and use of the
Freight Engage website, web application, mobile application, business directory, freight marketplace,
networking services, messaging features, job and event listings, advertising services and all other
related services provided through Freight Engage (collectively, "the Platform").

The terms "We", "Us", "Our", "Company", "Freight Engage" or similar expressions refer to BigEye Global Solutions Private Limited, the operator of Freight Engage.

The terms "You", "Your", "User", "Member" or similar expressions refer to any person, business, company, organization or other entity accessing or using the Platform.

By accessing, registering for, purchasing a membership, posting information, submitting a freight request, responding to a freight opportunity, communicating with another Member or otherwise using the Platform, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree with these Terms, you should not access or use the Platform.

If you are using the Platform on behalf of a company, organization or other legal entity, you represent and warrant that you have the authority to accept these Terms on behalf of that entity. In such circumstances, "You" and "Your" shall include both the entity and the person acting on its behalf, where applicable.

Freight Engage may revise these Terms from time to time. Updated Terms will be published on the Platform and may include a revised effective or last-updated date. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms, subject to any notice or acceptance requirements imposed by applicable law.

2. DEFINITIONS

For purposes of these Terms:

2.1 "Account"

Means the registered account created by a User to access and use applicable Platform features.

2.2 "Member"

Means an individual, company, organization, freight professional, logistics service provider or other business entity that registers for or uses the Platform.

2.3 "Business Profile"

Means the company, organization or professional profile created and maintained by a Member on Freight Engage.

2.4 "Freight Request"

Means a request submitted by a Member seeking freight, logistics, forwarding, transportation, agency or related commercial services or quotations.

2.5 "Quote"

Means a commercial quotation, rate, offer, proposal or response submitted by a Member in connection with a Freight Request or other business opportunity.

2.6 "Freight Opportunity"

Means a business opportunity, request, enquiry or other commercial opportunity relating to freight, logistics, forwarding, agency or related services.

2.7 "User Content"

Means any information, text, images, documents, company details, logos, descriptions, advertisements, messages, quotations or other material submitted, uploaded, displayed or published by a Member through the Platform.

2.8 "Membership Plan"

Means the free, basic, premium or other membership plan selected by a Member.

2.9 "Platform Services"

Means the digital services, tools, features and functionalities made available by Freight Engage.

2.10 "Advertising Services"

Means paid promotional, advertising, sponsored visibility or other commercial promotional opportunities made available through Freight Engage.

3. NATURE AND PURPOSE OF FREIGHT ENGAGE

Freight Engage is a B2B logistics networking and freight marketplace platform designed to help freight professionals and businesses discover, connect, communicate and exchange business opportunities.

The Platform may provide opportunities relating to:

  1. Freight quotation requests
  2. Logistics and freight business networking
  3. Freight agent and business-partner opportunities
  4. Company and business profiles
  5. Job opportunities and job listings
  6. Industry events and event listings
  7. Business promotion and advertising
  8. Business communication and messaging
  9. Other logistics, supply chain and international trade-related opportunities

Freight Engage is a technology platform that facilitates business discovery and communication.

Unless expressly agreed under a separate written agreement, Freight Engage does not itself act as a carrier, freight forwarder, customs broker, shipping line, cargo owner, shipper, consignee,freight agent, insurer, financial institution or guarantor of any Member or Member-to-Member transaction.

 

Any commercial transaction, service agreement, quotation, payment arrangement, shipment, employment relationship or other relationship between Members is a separate relationship between the relevant parties.

Freight Engage is not a party to such Member-to-Member transactions except where required by applicable law or expressly agreed in writing.

 

4. ELIGIBILITY AND BUSINESS AUTHORITY

The Platform is primarily intended for businesses, organizations and persons acting in a professional
or commercial capacity

By using Freight Engage, you confirm that:

  1. You have the legal capacity to enter into these Terms.
  2. The information you provide is accurate, current and not misleading.
  3. You have authority to represent the business or organization identified in your Account.
  4. You will not impersonate another individual, company, organization or business.
  5. You will not create an Account using false or misleading information.
  6. You will comply with all laws and regulations applicable to your activities.
  7. You will use the Platform only for legitimate business and professional purposes.

Freight Engage may request reasonable information or documentation to establish identity, business status, authority or other relevant information.

5. ACCOUNT REGISTRATION AND SECURITY

Certain Platform features may require registration.

You are responsible for:

  1. Providing accurate registration information;
  2. Maintaining the confidentiality of your login credentials;
  3. Preventing unauthorized access to your Account;
  4. Ensuring that information associated with your Account remains accurate; and
  5. All activity conducted through your Account, except to the extent caused by circumstances for which Freight Engage is legally responsible.

 

You must notify Freight Engage promptly if you suspect:

  1. Unauthorized access to your Account;
  2. Loss or compromise of login credentials;
  3. Impersonation;
  4. Fraudulent activity;
  5. Unauthorized use of your Account; or
  6. Any other security incident.

Freight Engage may suspend or restrict an Account where reasonably necessary to protect the Member, other Members or the Platform.

6. BUSINESS PROFILES AND INFORMATION ACCURACY

Members are responsible for the accuracy, completeness and legality of information submitted to Freight Engage.

This may include:

  1. Company name;
  2. Business address;
  3. Contact information;
  4. Website;
  5. Business descriptions;
  6. Freight and logistics services;
  7. Licences;
  8. Certifications;
  9. Company documents;
  10. Areas of operation;
  11. Service capabilities; and
  12. Other business information.

Members must not knowingly provide false, fraudulent, misleading, forged or materially inaccurate information.

 

Members must promptly update information that becomes materially inaccurate or misleading.

 

Freight Engage may remove, restrict, correct or request clarification regarding information that appears to violate these Terms or applicable law.

7. BUSINESS VERIFICATION

Freight Engage may offer business verification, verification checks or verification badges based on information and documentation provided by Members and the verification procedures used by Freight Engage.

A verification badge indicates only that Freight Engage has completed the applicable verification process at the relevant time.

A verification badge does not constitute:

  1. A guarantee of a Member's financial position;
  2. A guarantee of performance;
  3. A guarantee that a Member is free from fraud;
  4. A guarantee that a Member holds every licence required for its activities;
  5. An insurance or financial guarantee;
  6. An endorsement of a Member;
  7. A certification of service quality; or
  8. A guarantee that a Member is suitable for a particular transaction.

Members remain responsible for conducting their own due diligence before entering into a commercial relationship.

Freight Engage may suspend, remove or re-evaluate verification where information changes, documents expire, inconsistencies are identified or Platform rules are violated.

8. FREIGHT REQUESTS AND QUOTATIONS

Members may use the Platform to publish Freight Requests and submit Quotes.

Members are solely responsible for the accuracy, completeness and legality of information contained in their Freight Requests and Quotes.

 

Members should independently verify, where applicable:

  • Freight rates;
  • Cargo details;
  • Weight and dimensions;
  • Capacity;
  • Routing;
  • Transit times;
  • Schedules;
  • Cargo restrictions;
  • Customs requirements;
  • Licences;
  • Insurance;
  • Taxes and duties;
  • Dangerous-goods requirements;
  • Import and export requirements; and
  • Other commercial conditions.

A Quote submitted through Freight Engage is a proposal or commercial communication from the submitting Member unless that Member expressly states otherwise.

Freight Engage does not guarantee that:

  • A Quote is accurate;
  • A Quote will remain available;
  • A Quote will be accepted;
  • A Quote will result in a transaction;
  • A shipment will be completed;
  • The quoted service will be performed; or
  • The parties will enter into a contract.

Members are responsible for determining the terms of any agreement they enter into with another Member.

9. MEMBER-TO-MEMBER TRANSACTIONS

Members are responsible for conducting appropriate due diligence before entering into any commercial relationship through the Platform.

 

Such due diligence may include checking:

  1. Identity;
  2. Business registration;
  3. Authority;
  4. Licences;
  5. Certifications;
  6. Insurance;
  7. References;
  8. Creditworthiness;
  9. Service capabilities;
  10. Commercial terms; and
  11. Other relevant information.

Freight Engage does not guarantee or warrant:

  1. Payment by a Member;
  2. Performance by a Member;
  3. Cargo condition;
  4. Delivery;
  5. Customs clearance;
  6. Insurance coverage;
  7. Licensing;
  8. Solvency;
  9. Contractual compliance;
  10. Quality of services;
  11. Accuracy of Member information; or
  12. Completion of any Member-to-Member transaction.

Any agreement between Members is entered into at their own commercial risk.

 

Freight Engage may investigate suspected violations of these Terms and may take appropriate action, including restricting content, suspending Accounts or terminating Accounts.

10. MEMBERSHIP PLANS, PRICING AND BILLING

Freight Engage may provide Free/Basic membership plans and paid membership plans.

 

The features, limits, benefits, pricing, billing periods and availability of Membership Plans may vary depending on the applicable plan, market, currency, promotion or commercial offer.

 

Applicable pricing, billing information and taxes will be displayed at the time of purchase or in the relevant commercial offer.

 

Paid membership access will generally become available following successful payment and activation.

 

Freight Engage may introduce new Membership Plans or modify existing plan features, benefits, limits or pricing prospectively, subject to applicable law and any active contractual or billing commitments.

 

Applicable taxes, duties or similar charges may apply depending on the Member's location, business status and applicable law.

11. PAYMENT PROCESSING

Payments for paid Freight Engage services may be processed through third-party payment service providers.

 

Where a third-party payment provider processes payment-card information directly, Freight Engage may not receive or store the full payment-card details.

 

A payment made for a Freight Engage membership or advertising service is a payment for the applicable Platform or promotional service.

 

It is not a payment made by Freight Engage on behalf of one Member to another Member for freight, logistics, transportation or other services.

 

Members must not use the Platform for:

  1. Fraudulent payments;
  2. Money laundering;
  3. Sanctions evasion;
  4. Unlawful financial transactions;
  5. Payment fraud; or
  6. Other prohibited financial activity.

12. MEMBERSHIP UPGRADES, DOWNGRADES AND CHANGES

Where Freight Engage provides options to upgrade or downgrade an active Membership Plan, applicable billing, credit, proration and effective-date conditions will be displayed or communicated before confirmation.

 

Freight Engage may change Membership Plan names, features or limits prospectively, subject to applicable law and active billing commitments.

13. CANCELLATION AND REFUND

Unless otherwise expressly stated in a specific commercial offer or required by applicable law:

 

Membership fees are non-refundable after activation.

 

Once a paid Membership Plan has been activated, the Member will generally not be entitled to a refund for unused time, unused features or failure to use the Platform.

 

Members should contact Freight Engage promptly if they believe that:

 

  1. A payment was unauthorized;
  2. A payment was processed incorrectly; or
  3. A technical billing error occurred.

Any refund or remedy required by applicable law will remain available notwithstanding this provision.

 

Additional cancellation and refund conditions may be provided in the separate Freight Engage Cancellation & Refund Policy, which forms part of the applicable Platform policies.

14. MEMBERSHIP EXPIRY AND ACCOUNT DATA

When a paid Membership Plan expires, Freight Engage may:

 

  1. Move the Account to an available Free/Basic plan;
  2. Restrict paid features;
  3. Disable paid promotional benefits; or
  4. Apply the conditions of the applicable Membership Plan.

Freight Engage may retain Account information and Platform content for a reasonable period after expiry or termination where necessary for operational continuity, security, fraud prevention, dispute management, accounting, legal compliance or other legitimate purposes.

Data may subsequently be deleted or anonymized where appropriate, subject to applicable law, backups, legal obligations, disputes, security requirements and mandatory retention periods.

15. MESSAGING AND COMMUNICATIONS

Freight Engage may provide messaging and communication tools to enable legitimate business communication between Members.

 

Members must not use the Platform to send:

  1. Spam;
  2. Phishing messages;
  3. Malware;
  4. Fraudulent offers;
  5. Abusive communications;
  6. Unlawful solicitations;
  7. Misleading business communications;
  8. Harassing communications; or
  9. Communications that violate applicable law.

Members must respect applicable anti-spam, privacy, data-protection and electronic-communications requirements.

Freight Engage may apply reasonable technical and administrative measures to detect, prevent and investigate spam, fraud, abuse, security incidents and violations of these Terms.

The separate Freight Engage Email Abuse / Anti-Spam Policy may provide additional requirements.

16. JOBS AND EVENTS

Freight Engage may provide features through which Members can publish or discover job opportunities, recruitment opportunities, industry events, conferences, meetings or related professional opportunities.

 

Members are solely responsible for the accuracy and legality of job and event information they publish.

 

Freight Engage does not guarantee:

 

  • Employment;
  • Recruitment;
  • Candidate suitability;
  • Job availability;
  • Salary or compensation;
  • Event attendance;
  • Event quality;
  • Event occurrence;
  • Organizer performance; or
  • Any employment or business outcome arising from these listings.

Any employment, recruitment, event participation or related arrangement is between the relevant parties.

17. ADVERTISING AND COMPANY PROMOTION

Freight Engage may provide paid advertising, sponsored visibility, promotional placements, company promotion and related commercial opportunities.

 

Advertisers are responsible for ensuring that their advertising content is:

 

  1. Accurate;
  2. Lawful;
  3. Not misleading;
  4. Properly authorized;
  5. Non-infringing; and
  6. Compliant with applicable advertising and consumer-protection requirements.

Freight Engage may reject, remove, suspend or modify advertisements that violate these Terms, applicable law, Platform policies or reasonable content standards.

 

Payment for advertising does not guarantee:

 

  1. A specific number of impressions;
  2. Leads;
  3. Enquiries;
  4. Sales;
  5. Business opportunities;
  6. Conversions; or
  7. Any particular commercial result.

18. USER CONTENT

Members retain ownership of User Content submitted to Freight Engage, subject to the rights granted under these Terms and applicable third-party rights.

 

By submitting User Content to Freight Engage, you grant Freight Engage a non-exclusive, worldwide, royalty-free licence, for the period reasonably necessary to operate and provide the Platform, to:

 

  1. Host;
  2. Store;
  3. Reproduce;
  4. Format;
  5. Display;
  6. Transmit;
  7. Process;
  8. Moderate; and
  9. Make the content available through applicable Platform features.

This licence is intended to enable Freight Engage to operate the Platform and provide the services requested by Members.

 

Members represent and warrant that they have the necessary rights, permissions and authority to submit User Content.

 

Members must not submit content that unlawfully infringes another person's copyright, trademark, privacy, confidentiality or other rights.

19. PROHIBITED ACTIVITIES

Members must not use Freight Engage to:

 

  1. Commit fraud or impersonation.
  2. Provide materially false or misleading information.
  3. Upload forged, altered or knowingly fraudulent business documents.
  4. Conduct unlawful activities or unlawful trade.
  5. Evade sanctions, export controls or other legal restrictions.
  6. Conduct prohibited transactions.
  7. Upload malware or malicious software.
  8. Conduct phishing or credential theft.
  9. Attempt to compromise Platform security.
  10. Conduct unauthorized scraping, harvesting or systematic extraction of Platform data.
  11. Send spam or abusive unsolicited messages.
  12. Harass, threaten or abuse another person.
  13. Publish unlawful, defamatory or otherwise prohibited content.
  14. Misuse another Member's confidential information.
  15. Circumvent membership limits, access controls, verification controls or payment systems.
  16. Use the Platform for any purpose that violates applicable law.
  17. Misrepresent an affiliation with Freight Engage or BigEye Global Solutions Private Limited.
  18. Use Platform information to facilitate fraud, deception or unlawful activity.

Freight Engage may take appropriate action against Accounts involved in prohibited activities.

20. DUE DILIGENCE AND MEMBER RESPONSIBILITY

Freight Engage facilitates business discovery and communication. It is not a substitute for independent commercial due diligence.

 

Members should verify counterparties and transaction details before:

 

  1. Entering into contracts;
  2. Making advance payments;
  3. Extending credit;
  4. Releasing cargo;
  5. Sharing sensitive commercial information;
  6. Relying on business documents;
  7. Relying on licences or certifications; or
  8. Entering into any other commercial relationship.

Members are responsible for determining whether a potential business partner is appropriate for their requirements.

The separate Freight Engage Due Diligence Policy may provide additional guidance and recommended checks.

21. INTELLECTUAL PROPERTY

The Platform and its associated materials, including where applicable:

 

  1. Software;
  2. Website design;
  3. User interface;
  4. Branding;
  5. Trademarks;
  6. Logos;
  7. Graphics;
  8. Databases;
  9. Compilation of information;
  10. Documentation;
  11. Platform functionality; and
  12. Other materials owned or licensed by Freight Engage

are protected by applicable intellectual-property laws.

 

Except as expressly permitted by these Terms or with written authorization, Members must not:

 

  1. Copy;
  2. Reproduce;
  3. Modify;
  4. Distribute;
  5. Sell;
  6. License;
  7. Publish;
  8. Reverse engineer;
  9. Frame;
  10. Mirror;
  11. Extract; or
  12. Commercially exploit

Freight Engage's protected materials or Platform functionality.

 

Freight Engage-related branding remains the property of BigEye Global Solutions Private Limited or the relevant rights holder.

 

Nothing in these Terms transfers ownership of Freight Engage intellectual property to a Member.

22. COPYRIGHT AND OTHER RIGHTS COMPLAINTS

If a rights holder believes that content available through Freight Engage infringes their copyright, trademark or other legal rights, they may contact Freight Engage using the published contact information.

 

Freight Engage may investigate legitimate complaints and may:

 

  1. Request additional information;
  2. Restrict or remove content;
  3. Contact the relevant Member;
  4. Suspend access to content; or
  5. Take other appropriate action.

Members must cooperate reasonably with legitimate rights complaints and must not knowingly submit false or fraudulent infringement claims.

23. PRIVACY

Personal information collected and processed through Freight Engage is handled in accordance with the separate Freight Engage Privacy Policy.

 

The Privacy Policy forms part of the applicable Platform policies.

 

Members must not upload, disclose or otherwise process another person's personal information through Freight Engage unless they have an appropriate lawful basis, authorization and right to do so.

24. THIRD-PARTY SERVICES AND LINKS

Freight Engage may use or integrate third-party services for purposes including:

 

  1. Hosting;
  2. Payment processing;
  3. Email;
  4. Security;
  5. Analytics;
  6. Communications;
  7. Infrastructure; and
  8. Other Platform functionality.

Third-party services may be governed by their own terms and privacy policies.

 

Freight Engage may also provide links to third-party websites or services.

 

Freight Engage does not control independent third-party websites or services and, to the maximum extent permitted by law, is not responsible for their content, availability, security, policies or practices.

 

Members should review the applicable terms and privacy policies of third-party services before using them.

25. PLATFORM AVAILABILITY AND CHANGES

Freight Engage aims to provide a reliable Platform but does not guarantee that the Platform will always be:

 

  1. Available;
  2. Uninterrupted;
  3. Error-free;
  4. Secure from every possible threat; or
  5. Free from technical defects.

The Platform may occasionally be unavailable due to:

 

  1. Maintenance;
  2. Updates;
  3. Security incidents;
  4. Technical problems;
  5. Infrastructure failures;
  6. Legal requirements;
  7. Business decisions;
  8. Third-party service interruptions; or
  9. Other circumstances beyond Freight Engage's reasonable control.

Freight Engage may modify, suspend, restrict or discontinue any Platform feature or service where reasonably necessary.
Where required by applicable law, Freight Engage will provide applicable notice or remedies.

26. DISCLAIMER OF MEMBER TRANSACTIONS

To the maximum extent permitted by applicable law, Freight Engage does not warrant or guarantee the:

 

  1. Accuracy;
  2. Completeness;
  3. Quality;
  4. Safety;
  5. Legality;
  6. Licensing;
  7. Availability;
  8. Creditworthiness;
  9. Reliability;
  10. Performance; or
  11. Suitability

of any Member, Business Profile, Freight Request, Quote, Freight Opportunity, job listing, event listing, advertisement, service, goods, document or transaction.

 

Information available through the Platform may be supplied by Members or third parties.

 

Members use and rely upon such information at their own commercial risk, subject to rights and protections that cannot legally be excluded.

 

Freight Engage does not guarantee that using the Platform will result in business leads, freight opportunities, quotations, contracts, employment, sales, revenue or any other particular commercial outcome.

27. SUSPENSION AND TERMINATION

Freight Engage may suspend, restrict or terminate an Account or access to Platform features where reasonably necessary because of:

  1. Material breach of these Terms;
  2. Fraud;
  3. Security risks;
  4. Unlawful activity;
  5. Suspected impersonation;
  6. Abusive conduct;
  7. Non-payment;
  8. Misuse of the Platform;
  9. Violation of Platform policies
  10. Legal or regulatory requirements; or
  11. A material risk to other Members or the Platform.

Where appropriate and legally permissible, Freight Engage may provide notice and an opportunity to address the relevant issue.

 

Immediate suspension or termination may be taken where delay could create legal, security, fraud, safety or material Platform risks.

 

Termination does not extinguish obligations that by their nature should survive termination, including intellectual property, confidentiality, indemnification, disclaimers, liability limitations, payment obligations and dispute provisions.

28. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless BigEye Global Solutions Private Limited, Freight Engage and their respective directors, officers, employees, representatives and agents from and against third-party claims, losses, liabilities, damages, penalties, costs and reasonable expenses arising out of or relating to:

 

  1. Your unlawful conduct;
  2. Your material breach of these Terms;
  3. Your User Content;
  4. Your infringement of third-party rights;
  5. Fraud or misrepresentation by you;
  6. Your violation of applicable laws; or
  7. Your Member-to-Member transaction or commercial relationship.

 

This indemnification obligation is subject to applicable law.

29. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Freight Engage and BigEye Global Solutions Private Limited shall not be liable for indirect, incidental, special, consequential or punitive damages or losses, including loss of:

 

  1. Profits;
  2. Revenue;
  3. Business opportunities;
  4. Goodwill;
  5. Data;
  6. Anticipated savings; or
  7. Business interruption

arising from or relating to use of, or inability to use, the Platform or from any Member-to-Member transaction.

 

To the maximum extent permitted by applicable law, the aggregate liability of Freight Engage and BigEye Global Solutions Private Limited arising from a Member's use of the Platform shall be limited to the amount actually paid by that Member to Freight Engage for the applicable Platform Services during the twelve (12) months immediately preceding the event giving rise to the claim, unless a different limitation is required by applicable law or expressly agreed under a separate written commercial agreement.

 

Nothing in these Terms excludes or limits any liability, right or remedy that cannot legally be excluded or limited under applicable law.

30. CONFIDENTIALITY

Members should exercise appropriate care when sharing confidential, commercially sensitive or proprietary information through Platform messaging or other Platform features.

 

Unless Freight Engage expressly agrees otherwise in writing, Members are responsible for deciding what confidential information is appropriate to disclose through the Platform.

 

Freight Engage may access, process or disclose information where reasonably necessary to:

 

  1. Operate the Platform;
  2. Investigate abuse or fraud;
  3. Enforce these Terms;
  4. Protect Members;
  5. Protect the Platform;
  6. Comply with applicable law; or
  7. Respond to lawful governmental or regulatory requests.

31. COMPLIANCE WITH APPLICABLE LAWS

Members must comply with all laws and regulations applicable to their activities conducted through or in connection with Freight Engage.

 

Depending on the relevant activity, this may include requirements relating to:

 

  1. Customs;
  2. Import and export;
  3. International trade;
  4. Sanctions;
  5. Export controls;
  6. Anti-bribery;
  7. Anti-fraud;
  8. Taxation;
  9. Licensing;
  10. Competition;
  11. Data protection;
  12. Dangerous goods;
  13. Transportation; and
  14. Other applicable regulatory requirements.

Members must not use Freight Engage to circumvent sanctions, export controls, licensing requirements or mandatory trade restrictions.

32. INTERNATIONAL USERS

Freight Engage is operated from India and may be accessed by users internationally.

 

Different laws may apply depending on the location of a Member and the nature of its activities.

Members are responsible for ensuring that their use of the Platform and their commercial activities comply with applicable local, national and international laws.

 

Nothing in these Terms is intended to remove any mandatory legal right or protection that cannot lawfully be excluded.

 

Freight Engage may restrict access to certain features or services where reasonably necessary for legal, regulatory, security or operational reasons.

33. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall, subject to mandatory laws and rights that cannot lawfully be excluded, be governed by and interpreted in accordance with the laws of India.

 

If a dispute arises between you and Freight Engage concerning these Terms or use of the Platform, the parties should first attempt in good faith to resolve the dispute through written notice and reasonable discussions.

 

Subject to applicable law and enforceability, disputes arising out of or relating to these Terms may be referred to arbitration seated in Chennai, Tamil Nadu, India, conducted in English and in accordance with the applicable arbitration laws of India.

 

Nothing in this section prevents a party from seeking urgent or mandatory relief from a competent court or regulatory authority where applicable law permits or requires such action.

34. CHANGES TO THESE TERMS

Freight Engage may update or modify these Terms from time to time.

 

When changes are made, the updated version will be published on the Platform with a revised effective date or last-updated date.

 

For material changes affecting active paid Membership Plans, Freight Engage may provide reasonable notice where required by applicable law.

 

Where explicit acceptance of updated Terms is required, Freight Engage may request such acceptance before continued access to relevant Platform services.

35. NOTICES AND CONTACT INFORMATION

Legal, contractual, compliance or other formal notices may be sent using the published Freight Engage contact information or through the Platform where appropriate.

36. GENERAL PROVISIONS

36.1 Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by applicable law.

36.2 No Waiver

Failure or delay by Freight Engage in enforcing any provision of these Terms shall not constitute a permanent waiver of that provision or any other right.

36.3 Assignment

A Member may not transfer or assign its Account or contractual rights under these Terms without appropriate authorization.

Freight Engage may assign or transfer its rights and obligations in connection with a restructuring, merger, acquisition, sale, transfer of business or similar transaction, subject to applicable law.

36.4 Entire Agreement

These Terms, together with the applicable policies incorporated by reference and any applicable Membership Plan terms, constitute the agreement governing your use of the Platform, except where a separate written agreement expressly applies.

36.5 Independent Relationship

These Terms do not create a partnership, agency, employment, fiduciary relationship, joint venture or other similar relationship between Freight Engage and a Member.

36.6 Survival

Provisions which by their nature should continue after termination or expiry of an Account shall survive termination or expiry, including provisions relating to intellectual property, confidentiality, indemnification, disclaimers, limitations of liability, payments and dispute resolution.

The following separate policies may apply to your use of Freight Engage and are incorporated by reference to the extent applicable:

Where a specific policy addresses a particular subject in greater detail, that policy shall apply to that subject to the extent permitted by applicable law.
